Business Formation

Whether you're starting, modifying or closing a business, there are issues to be addressed. Will you have partners, investors, employees? What type of business are you entering into? Are you starting or buying a business? Will you have employees? What are the State requirements on your business? Will it require financing?

Choice of Entity

The form of organization should be selected to meet your needs as the principal owner.  The choices typically are: a C corporation, an S corporation, a limited liability company, a general partnership, or a limited partnership. The choice depends on the relative importance to you of several key issues including the tax aspects of formation, limited liability of owners, owner compensation, and size.
